Article 1 (Scope of Application)
These Terms of Use (hereinafter referred to as "these Terms") set forth the conditions regarding the use of all services (hereinafter referred to as "the Service") provided by Soul Resonant Works (hereinafter referred to as "the Company") between the Company and customers who use the Service (hereinafter referred to as "Users").
By using the Service, Users are deemed to have agreed to these Terms.
Article 2 (Definitions)
The definitions of terms used in these Terms are as follows:
- "The Service" means the AI system products and related services provided by the Company.
- "User": Any individual or entity that uses the Service
- "Registration Information": Information provided by the User to the Company for the purpose of using the Service
- "Intellectual Property Rights": Copyrights, patent rights, utility model rights, trademark rights, design rights, and other intellectual property rights (including the right to acquire such rights or to file applications for registration thereof)
Article 3 (Account Registration)
Account registration may be required to use certain features of the Service. Users must provide truthful, accurate, and complete information when registering.
Users shall promptly notify the Company of any changes to their Registration Information and shall maintain up-to-date and accurate information at all times.
Article 4 (Prohibited Activities)
Users shall not engage in any of the following activities when using the Service:
- Activities that violate laws, regulations, or public order or good morals
- Activities related to criminal acts
- Activities that infringe upon the intellectual property rights, portrait rights, privacy rights, honor, or other rights or interests of the Company or third parties
- Activities that place an excessive burden on the servers or networks of the Company or third parties
- Activities that may interfere with the operation of the Service
- Unauthorized access or attempts thereof
- Reverse assembly, reverse compilation, reverse engineering, or similar activities
- Using the Service for commercial purposes (unless separately authorized by the Company)
- Providing benefits to antisocial forces
- Any other activities deemed inappropriate by the Company
Article 5 (Intellectual Property Rights)
All intellectual property rights related to the Service belong to the Company or third parties who have licensed such rights to the Company. The license to use the Service under these Terms does not grant any license to use the intellectual property rights related to the Service.
Users shall not reproduce, modify, adapt, publicly transmit, distribute, transfer, lend, or otherwise use the Service or any part thereof without the prior written consent of the Company.
Article 6 (Modification, Suspension, and Termination of the Service)
The Company may modify, supplement, or discontinue all or part of the Service without prior notice to Users.
The Company may suspend or discontinue all or part of the Service without prior notice to Users in any of the following cases:
- When urgent inspection or maintenance of the systems related to the Service is required
- When the Service cannot be operated due to computer or communication line failures, operational errors, excessive concentration of access, unauthorized access, hacking, or similar events
- When the Service cannot be operated due to force majeure events such as earthquakes, lightning, fires, floods, power outages, or natural disasters
- When the Company otherwise deems suspension or discontinuation necessary
Article 7 (Disclaimer)
The Company makes no warranties, express or implied, regarding the Service. The Company does not warrant that the Service will meet the specific purposes of all Users, that it will have the expected functionality, commercial value, accuracy, or usefulness, that the User's use of the Service will comply with applicable laws, regulations, or internal rules of industry organizations, that the Service will be continuously available, or that no defects will occur.
The Company shall not be liable for any damages incurred by Users in connection with the Service, except in cases of intentional misconduct or gross negligence on the part of the Company.
Article 8 (Exclusion of Antisocial Forces)
Users represent that they do not fall under any of the following categories: organized crime groups (boryokudan), members of organized crime groups, persons for whom less than five years have passed since ceasing to be members of organized crime groups, associate members of organized crime groups, companies related to organized crime groups, corporate racketeers (sokaiya), groups engaging in criminal activities under the guise of social movements or political activities, specialized intellectual violence groups, or any other persons equivalent thereto (collectively referred to as "Antisocial Forces"), and that none of the following applies, and further warrant that the same shall not apply in the future:
- Having a relationship in which Antisocial Forces are deemed to control the management
- Having a relationship in which Antisocial Forces are deemed to be substantially involved in the management
- Having a relationship deemed to constitute improper use of Antisocial Forces, such as for the purpose of obtaining unjust benefits for oneself or a third party, or for the purpose of causing damage to a third party
- Having a relationship deemed to involve providing funds or other benefits to, or providing convenience for, Antisocial Forces
- Having officers or persons substantially involved in the management who maintain socially condemnable relationships with Antisocial Forces
Article 9 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan.
Any and all disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Article 10 (Amendments to These Terms)
The Company may amend the contents of these Terms at any time without obtaining the consent of Users. Unless otherwise specified by the Company, the amended Terms of Use shall take effect upon being posted on this website.
By continuing to use the Service after the amendment of these Terms, Users are deemed to have agreed to the amended Terms of Use.
